Zavros Data — Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern access to and use of the Zavros Data platform, including the website, applications, data, and related services (together, the "Service"), operated by Zavros Data ("Zavros Data," "we," "us"). By signing in to or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The Service

Zavros Data is a business-lead intelligence workbench. It combines Florida public records (including business filings from the Florida Division of Corporations) with information licensed from third-party data providers and other enrichment sources. Access is by invitation only; each account is provisioned by an administrator.

3. Accounts

Your login credentials are personal to you. You may not share an account, and you are responsible for activity under your credentials. Organization administrators may invite, manage, and remove users within their organization. Notify us promptly of any suspected unauthorized access. We may suspend or disable any account to protect the Service or its data.

4. License and Permitted Use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access the Service and to view and use the data presented in it solely for your own internal business purposes — identifying, evaluating, and contacting business prospects. Data made available through the Service is licensed to you, not sold, and remains the property of Zavros Data or its data licensors.

5. Restrictions

You may not, and may not permit anyone else to:

• resell, sublicense, redistribute, publish, or otherwise provide access to the Service, or to data or information contained in or derived from the Service, to any third party;
• scrape, crawl, bulk-download, or systematically extract data from the Service, or copy data beyond the export features the Service expressly provides;
• use exported data to build, train, augment, or seed any database, data product, machine-learning model, or competing service;
• remove or obscure proprietary notices, or misrepresent the source of the data;
• reverse engineer, probe, or interfere with the Service or its security;
• use the Service in violation of any applicable law.

Where the Service offers exports, exported fields may be limited to public-record information; fields sourced from our data licensors may be restricted to in-platform viewing.

6. Data Use Restrictions

Zavros Data is not a consumer reporting agency, and the Service does not provide "consumer reports" as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. §1681 et seq. You may not use the Service or its data, in whole or in part:

• to determine any person's eligibility for credit, insurance, employment, housing, healthcare, or a government license or benefit, or for any other purpose covered by the FCRA;
• for tenant screening or background checks, or as any part of one;
• for debt collection of any kind;
• to profile or target any person on the basis of race, ethnicity, religion, health, sexual orientation, immigration status, or other sensitive characteristics;
• for stalking, harassment, surveillance, or locating any individual for purposes unrelated to lawful business-to-business commerce;
• for political campaigning or intelligence-gathering purposes;
• for any unlawful, deceptive, or fraudulent purpose.

These restrictions implement requirements that our data licensors impose on all downstream users, and a violation is a material breach of these Terms.

7. Outreach and Marketing Compliance

You are solely responsible for ensuring that your use of contact information obtained through the Service complies with all applicable communications and marketing laws, including the Telephone Consumer Protection Act (TCPA), the FTC Telemarketing Sales Rule, federal and state Do-Not-Call registries, the CAN-SPAM Act, and the Florida Telephone Solicitation Act. You must honor opt-out and do-not-contact requests promptly and maintain your own suppression practices. Zavros Data provides data, not legal authorization to call, text, or email any particular person.

8. Data Accuracy

Data in the Service is compiled from public records and third-party sources and is provided for general business-prospecting purposes. It may be incomplete, out of date, or inaccurate, and is provided "as is" and "as available" without warranty of accuracy, completeness, or fitness for a particular purpose. Verify information independently before relying on it.

9. Intellectual Property

The Service — including its software, design, compilations, scoring, and verification methods — and all data or information contained in or derived from the Service are and remain the exclusive property of Zavros Data and its licensors. No rights are granted except as expressly stated in these Terms.

10. Suspension and Termination

We may suspend or terminate your access at any time for breach of these Terms, at your organization's request, or if our agreements with data licensors require it. You or your organization may stop using the Service at any time. Upon termination: (a) your license ends immediately; (b) you must cease all use of data obtained from the Service; and (c) upon our request, you must destroy or return all copies of data obtained from the Service (other than fields identified by us as public-record data) and certify that you have done so. Sections 5–9 and 11–14 survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAVROS DATA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU OR YOUR ORGANIZATION FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100) IF NO AMOUNTS WERE PAID.

13. Indemnification

You will defend, indemnify, and hold harmless Zavros Data and its licensors from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service or data in violation of these Terms or applicable law, including any communications you make to prospects identified through the Service.

14. General

We may update these Terms from time to time; the current version will always be posted at this page with its effective date, and continued use of the Service after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Broward County, Florida. If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and Zavros Data regarding the Service unless you have a separate signed agreement with us, in which case that agreement controls where it conflicts.
